The management of MEGA is entrusted to a board of directors, which is comprised of seven members, and their respective alternates. Additionally, our board of directors is comprised of more than 70% of independent members, well over the 25% minimum that is required for publicly listed companies in Mexico.
The board of directors has authority to direct the policies and business of the Company and, for those purposes, it has the broadest authority.
As of the date, 71.43% of the members of MEGA’s board of directors are male, and 28.57% are female.

Mr. Romo Romero holds a degree in Law from Universidad Panamericana, and some Specialization Courses abroad. He was also a member of the Young Presidents Organization, Co-Chairman of America´s Business Council and Chairman of Endeavor Occidente. He is currently a Director of Nacional Financiera Jalisco, Grupo Financiero Banamex, Consejo Empresarial de América Latina, among others. He was Chairman of the Board of Directors of Tequila Herradura from 2004 to 2007.
Mr. Romo de la Peña studied Law in Universidad Anahuac. He is an Honorary Chairman of Grupo Jalisco XXII, was Chairman of the Board of Directors of Tequila Herradura S.A from 1999 to February 2004, and Chief Executive officer of Tequila Herradura S.A from 1975 to 1999.
Mr. Rubio Limon holds a degree in Public Accounting from Universidad Panamericana, and an MBA from Instituto Panamericano de Alta Dirección de Empresa. He was a State Director in Jalisco at Nacional Financiera, S.N.C., Credit Risk Director at Bansi, S.A., Business Promotion Director for Jalisco in Bancomer, S.A. He is a Director in organizations such as: CANACO, CCIJ, COPARMEX, CMIC, and Centro Bancario. He is currently Chief Executive Officer of Maquila Tecnológica, S.A. de C.V.
Ms. Lavonne Mauch holds a BA in Economics, Economic Development and Latin American Studies from the University of Arizona. She was a member of the Board of Directors of Grupo Financiero BHD León, Director of HSBC Mexico from 2003 to 2013, Managing Partner in Equitium LLC from 2002 to 2004, and Head of Private Banking for Latin America at Bank of America from 1995 to 2001. She has an interest in K-Mex Strategies LLC since 2003.
Mr. Petersen Farah holds a degree in Economics from Universidad de Guadalajara. He is a Founding Partner of Geltung Asesores S.C., and Founding Partner and CEO of Petersen & Jiménez, S.C. He was Chief Executive Officer of Blockbuster Video México S.A. de C.V., Chief Financial Officer of Grupo Sidek, S.A. de C.V., Director of Convertidora Industrial S.A. de C.V., and of Consorcio Terrenos S.A. de C.V.
Mr. Michelsen Delgado holds a degree in Economics from Universidad de los Andes, he also holds a Master of Management degree from J.L. Kellog Graduate School of Management. He was general manager at Publicaciones Semana (Colombia), CEO at Televisa Publishing and Vice President of Grupo Televisa. Currently, he is CEO and Managing Director of Kandeo Private Equity Fund.
Mrs. Espinoza holds a degree in European Business Studies from the Dublin City University as well as a degree in International Business Management from the ESB Business School. She currently serves as Senior Manager, Corporate Strategy & Development Policy at DEG, where she works since 2015 and leads the Global Gender Finance division since 2018. Prior to DEG, Mrs. Espinoza performed at a number of development bank projects in several countries, including Ghana, Ecuador, Argentina, Nicaragua, among others.
